Userpool (“We”) (“Our”) or (“Us”) welcomes you to Our website and the applications and services (that are available from Us, through Our website or other platforms (the “Site” and the “Services”). Your use of the Site and the Services are governed by these Terms and Conditions(these “Terms”). Any time you browse the Site or use the Services in any way, you agree to be bound by these Terms. If you don’t agree to these Terms, do not use the Site or the Services.
Each time you use the Site or the Services, the Terms that are the most recent will apply. If you use the Site or the Services after a modification of these Terms, you agree to be bound by the modified Terms and the obligations placed upon you.
These Terms include important information including but limited to the Conditions (the “Conditions”), your rights and your relationship with Us with regard to the Services that We provide. You are required to read and review these Terms on a regular basis.
Eligibility and Selection
To be eligible for Our Services, you must be:
- at least 18 years old
- eligible for and in possession of a Paypal account in your name.
You further represent that any information you submit to Us when using the Services is accurate, truthful, and current. You also represent that your use of the Services does not violate any applicable law or regulation.
In order to use the Services you will be required to register an account (“Account”) through Our Site. As part of the Account creation process, you may be asked to provide a username or email address and password unique to the Account (“Login Information”). You are responsible for the confidentiality and security of your Account and Login Information. You agree that you will not share these details with any other individual or third party. If you suspect unauthorised use of your Account you must contact Us immediately. You are responsible for the activities occurring in your Account. You have no ownership rights over the Account and We reserve the right to terminate your Account with Our discretion at any time.
The Userpool platform (“the Platform”) enables users to help financial service providers build apps and websites with the user’s experience at the centre. The Platform is a tool where We will post tasks (“the Tasks”) which may include but are not limited to assignments. You are asked to screen record your completion of these tasks and upload this content (“the Content”) to the Platform. We make no representations about the suitability, reliability, timeliness, or accuracy of any tasks and /or opportunities presented and Services provided by Us.
You are paid an amount (“the Amount”) on successful completion (“Completion”) of the Tasks. The Amount will be displayed before you accept to complete the Tasks. Completion shall be the decision of Us insofar that it meets the required standard. If We decide that the Tasks have completed the Amount will be paid between 3-5 working days (“Working Day”) into your Paypal account. We take no responsibility or liabilities for any delay of payment nor any responsibility for any actions of Paypal. Working Day means any day, except for a Saturday, Sunday or an English public holiday.
Users may be subject to a vetting process before they can register for and during their use of the Platform, including but not limited to a verification of identity, using third party services as appropriate.
6. Permitted Uses/License.
You are authorized to access the Site for the sole purpose of viewing and using the Platform and accessing the Services on your computer or device. You are not permitted to decompile, disassemble, rent, lease, loan, sell, sublicense, or create derivative works from the Site, the Platform or the Services.
We use three criterias when determining the eligibility for Tasks on Our Platform
Location Based Tasks
We may post Tasks that are dependant upon location. We determine your location from the information you give Us when you register your Account.
We post Tasks that are dependant upon the applications (“Apps”) that are available to you or that you inform Us that you currently have, use or are willing to download. We take no responsibility for the content contained within third party Apps,
We may post Tasks that are dependant upon a certain operating system. We take no responsibility for the suitability of the Tasks.
Third Party Links
The Site may contain links to third party websites that We do not maintain, control or operate. We take no responsibility for the content contained on third party websites.
When you post and upload to Our Platform you warrant that
- you have rights of ownership of that content.
- you are not violating the rights of any other individual
- you have no agreement with or obligations to any third party that would prohibit your use of the Site and/or contributions to the Platform including Content.
By posting Content to the Platform you agree to grant Us and Our affiliates a royalty-free license to use, reproduce, modify, perform, display, and distribute the Content in a manner to support the purpose for which it was collected.
You agree that We have the right to collect and analyze data and other information relating to the Services and your use of the Platform. We will use this information for the purpose of analyzing Our Services and developing these.
You agree to indemnify and hold harmless Us, Our affiliates and Our and their officers, directors, partners, agents, and employees from and against any loss, liability, claim, or demand, including reasonable attorneys’ fees (collectively, “Claims”), made by any third party due to or arising out of your use of the Site and Services in breach of these Terms, any breach of the representations and warranties you make in these Terms, or your User Content. You agree to be solely responsible for defending any Claims against or suffered by Us, subject to Our right to participate with counsel of Our own choosing.
13. Limitation of Liability
Any liability We have to you in connection with these Terms shall be limited to 100 per user in aggregate. We take no liability for any indirect, special, incidental or consequential damages arising out of, or in connection with these Terms.
14. Our Rights
We may assign, transfer, delegate, or otherwise hypothecate Our rights under these Terms in Our sole discretion. If We fail to enforce a provision of these Terms, you agree that such failure does not constitute a waiver to enforce the provision or any provision hereunder. If any provision of these Terms is held or made invalid, the invalidity does not affect the remainder of these Terms. We reserve all rights not expressly granted in these Terms and disclaim all implied licenses.
15. Governing Law
These Terms are governed, and is to be constructed in accordance with, English Law. The courts in England operating with English jurisdiction will have exclusive jurisdiction to deal with and dispute arising out of, or in connection with these Terms.
